Terms & Conditions
These terms govern use of the WILAXON Beta platform. They do not replace legal, regulatory or financial advice.
Platform role
WILAXON is a technology coordination platform. It is not a seller of goods, bank, insurer, carrier, regulator, broker-dealer or investment adviser.
Independent businesses
WILAXON is not the seller, buyer, manufacturer, importer, exporter, carrier, freight owner or payment guarantor for marketplace transactions, unless a specific WILAXON service expressly says otherwise. Users remain responsible for their own commercial agreement and applicable compliance, subject to responsibilities that applicable law imposes directly on WILAXON.
Beta status
The platform is in Beta. Features may change, and availability is not guaranteed. Beta participation does not promise revenue, verification, transactions or market access.
Accounts and companies
Users must provide accurate account and company information. Company verification is separate from email verification and does not guarantee transaction or product compliance.
Marketplace and commercial terms
Specific commercial terms are agreed between the relevant companies. WILAXON does not become a party to those terms merely by providing discovery, matching, communication or workflow tools.
Acceptable use
Do not post unlawful, deceptive, abusive, infringing or otherwise harmful content. Prohibited products may not be offered or requested. Restricted products must comply with applicable requirements. Contact details and private business information must remain inside the access controls provided by the platform.
Moderation and access
WILAXON may moderate content, manage marketplace controls, suspend accounts or limit access where necessary for security, integrity, legal or operational reasons.
Business user eligibility
The marketplace is intended for legitimate businesses and verified company profiles. Individuals or organisations may register only where they are able to provide accurate business information and comply with applicable law.
Registration and account responsibilities
Account holders are responsible for safeguarding their credentials and for activity conducted through their accounts. Email verification confirms mailbox access and is not company verification.
Company profiles and verification
Company profiles must identify the real business represented. Claimed, identified and verified states describe different levels of available context and do not replace regulatory or legal authorisation.
Listings and commercial information
The posting company is responsible for the accuracy, lawfulness, authority, classification, availability and terms of its listings, requests, capacity and opportunities. Demo or illustrative content must remain clearly marked.
RFQs, Deals and Conversations
RFQs, Deal records and Conversations are coordination tools. They do not automatically create a binding commercial agreement unless the parties independently agree to such terms.
CommercialSnapshot
Where applicable, WILAXON may retain an immutable interaction or final-agreement snapshot to document the commercial state that a party acted on. This is an integrity and transparency record, not a contract term.
User-provided information
Users grant WILAXON the rights reasonably necessary to store, display and process submitted information for the stated marketplace, verification, moderation, support, security and audit purposes.
Intellectual property
Users retain their own rights in the content they submit. WILAXON retains rights in its software, design, branding and platform materials. Do not use WILAXON branding to imply endorsement or a commercial relationship that does not exist.
Prohibited use
Do not use the platform to violate law, infringe rights, misrepresent authority, evade sanctions or export controls, impersonate another company, introduce harmful code, interfere with platform operation, or bypass access and contact controls.
Suspension and termination
WILAXON may suspend or terminate access for breach of these terms, suspected fraud, abuse, security risk, regulatory concern or other operational necessity.
Service changes
WILAXON may modify, add, suspend or discontinue Beta features without notice. Material changes to these terms will be communicated through the platform where practical.
Fees
No payments are currently collected through the public Beta platform. Any future fees will be described before they become effective.
Privacy
Personal and company information is processed as described in the Privacy Policy and Cookie Information pages.
Liability and disclaimers
To the extent permitted by applicable law, the platform is provided “as is” and “as available.” WILAXON does not guarantee listing accuracy, counterparty reliability, availability, commercial success or uninterrupted operation.
Governing law and legal completion
TODO: Production-specific governing law, jurisdiction, indemnity, liability limits, dispute resolution and country-specific terms must still be completed by qualified legal counsel.
